CONTENT LICENSE AGREEMENT

This license agreement governs the terms by which purchasers obtain the right to use content from Stock-GFX. By downloading content from Stock-GFX, including both free and paid images, you accept the terms of this license agreement.

GENERAL
In this agreement, "you" means you, acting on your own behalf, or as the agent of your employer. "We" means Stock-GFX/BlueCherry Graphics/Jennifer Johnson. "Content" means images, both free and paid, downloaded from Stock-GFX. This agreement is binding until terminated. If you wish to terminate the agreement, you must destroy all copies (printed, electronic, archived) of the content. The agreement will be terminated effective immediately should you fail to comply with the terms. PLEASE NOTE: no refunds will be given. If a particular file is found to be corrupt or an incorrect image was made available for download, a replacement file will be provided, but fees paid are non-refundable.

We grant you non-exclusive, non-transferrable rights to use the content as permitted within the terms of this agreement. Uses outside those specified are not permitted. In all cases, we retain, without limitation all copyright and intellectual property rights to the content. You are not under any circumstances purchasing the rights to the content; you are purchasing license to use the content as outlined in this agreement.

PERMITTED USES
You may use the content:

• In print, for advertising and promotional purposes for up to 250,000 copies. This includes use in postcards, ads, etc. THIS DOES *NOT* INCLUDE USE AS PART OF A LOGO, TRADEMARK, OR BUSINESS NAME, OR IN TEMPLATES.
• Online, for advertising and/or promotional purposes. This includes use in websites, banners, buttons, etc. THIS DOES *NOT* INCLUDE USE IN TEMPLATES.
• For both business and personal purposes as long as they fall within the permitted uses.
• For a use not explicitly listed here, provided you obtain permission in writing prior to usage.

PROHIBITED USES

• You may not use the content, in whole or in part, in a logo, business name, or trademark.
• You may not use the content in templates.
• You may not use the content in any manner that results in the content being re-distributed. Including, but not limited to, as part of a software package, clipart package, etc.
• You may not offer the content for download, nor offer access to the content as an electronic file.
• You may not sublicense the content.
• You may not use the content, in whole or in part, in work submitted to stock/microstock agencies.
• You may not represent the content as your own creation, nor claim copyright to the content.
• You may not use the content in ways we deem inappropriate or offensive.

The content is provided "as is", without warranty, expressed or implied, including, but not limited to implied warranties of fitness for a particular purpose, merchantability, or non-infringement. No warranty is expressed or implied that the content will be error-free or meet your requirements. All risk as to the quality, performance, and use of the image rests solely with you.

You agree to indemnify and hold harmless Stock-GFX/BlueCherry Graphics/Jennifer Johnson for any and all damages resulting from use of, or inability to use the content. In no event, shall total liability exceed the amount received from you for the content.
